Legal Counsel

About the role

XTEND, a publicly listed Israeli defense‑tech company specializing in autonomous drone systems, is seeking a Legal Counsel to join its Legal team and report directly to the General Counsel. The role offers exposure to a broad range of corporate, securities, and governance matters across a global organization.

Key responsibilities

• Prepare and file SEC reports (10‑K, 10‑Q, 8‑K, Proxy Statements, Section 16) in collaboration with management and external U.S. counsel.
• Support SOX compliance and internal control initiatives alongside the CFO and finance team.
• Assist the Board of Directors and its committees by drafting materials, resolutions, minutes, and handling corporate secretarial duties.
• Oversee corporate governance for subsidiaries in the U.S. and other jurisdictions.
• Manage equity‑compensation matters, including option and RSU plans, Section 102 mechanisms, and coordination with trustees and transfer agents.
• Review and negotiate commercial agreements and address ongoing legal issues as needed.

Required profile

• Attorney with 4–7 years of experience; U.S. bar admission preferred.
• Demonstrated expertise in capital markets and securities, either from a leading law firm or a public company.
• Proven track record with SEC reporting for NYSE/Nasdaq‑listed entities.
• Native‑level English proficiency, especially in legal drafting.
• Strong independent work ethic, ownership, and accuracy in a fast‑paced, multitasking environment.
